Welcome to Minchu Analytics (“Minchu Analytics,” “we,” “our,” or “us”). These Terms of
Use (“Terms”) govern your access to and use of our website located at https://www.minchuanalytics.com/, our
digital platforms, media intelligence services, reports, dashboards, customer portals, APIs (where
available), research deliverables, and related products and services (collectively, the “Services”).
These Terms constitute a legally binding agreement between Minchu Analytics and the
individual or legal entity accessing or using the Services (“User,” “Client,” or “you”).
If you do not agree to these Terms, you must not access or use the Services.
1. Acceptance of Terms
By accessing, browsing, registering for, subscribing to, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these
Terms and all applicable laws and regulations.
If you access the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
You represent and warrant that:
- You are legally capable of entering into a binding agreement.
- You are at least the minimum age required under applicable law.
- You have authority to act on behalf of your organization where applicable.
- Your use of the Services complies with all applicable laws, regulations, and contractual obligations.
The Services are intended primarily for business, professional, institutional, and governmental
users.

Service features may change, expand, or be discontinued from time to time.
4. User Accounts
Certain Services require account registration.
You agree to:
- Provide accurate and current information.
- Maintain the confidentiality of account credentials.
- Restrict unauthorized access to your account.
- Promptly notify us of any suspected unauthorized use.
- Accept responsibility for activities occurring under your account unless caused by our negligence.
We may require identity verification where appropriate.
5. Acceptable Use
You agree to use the Services only for lawful business purposes.
You shall not:
- Violate applicable laws or regulations.
- Access systems without authorization.
- Circumvent security measures.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Services, except where expressly permitted by applicable law.
- Scrape, harvest, crawl, or systematically extract data without our prior written consent.

Any misuse may result in immediate suspension or termination.
6. Intellectual Property
Unless otherwise stated, all intellectual property rights in the Services, including software,
databases, analytics methodologies, dashboards, reports, visualizations, designs, branding, documentation, workflows, proprietary models, and original content created by Minchu Analytics remain the exclusive property of Minchu Analytics or its licensors.
These Terms grant a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for authorized internal business purposes.
No ownership rights are transferred to you.
7. Client Content
Where Clients submit data, documents, instructions, or other materials (“Client Content”), the
Client retains ownership of such content.
The Client grants Minchu Analytics a limited license to process Client Content solely for:
- Delivering contracted Services
- Technical support
- Security
- Backup and recovery
- Improving service delivery where permitted by law and contract
The Client represents that it has all necessary rights and permissions to provide Client Content.
8. Publicly Available Information
Many Services rely upon publicly available or lawfully accessible information, including:
- News articles
- Press releases
- Public corporate announcements
- Public regulatory filings
- Public executive profiles
- Public social media content
- Open-source intelligence
- Government publications
- Industry publications
- Market information
Minchu Analytics does not claim ownership of third-party public content. Such materials remain
subject to the rights of their respective owners.
9. AI-generated Insights Disclaimer
Certain Services may include AI-assisted analytics or AI-generated insights.
These outputs are intended to support professional analysis and operational decision-making but
are provided for informational purposes only.
AI-generated insights:
- may contain inaccuracies or omissions;
- may not reflect all relevant facts or developments;
- should not be relied upon as the sole basis for business decisions; and
- should be independently reviewed and verified by qualified personnel before use.
Minchu Analytics does not warrant that AI-generated outputs are complete, error-free, or suitable
for every use case.
10. Media Monitoring Reports
Media monitoring reports, executive briefings, dashboards, alerts, and research deliverables are prepared using proprietary methodologies and available information at the time of publication.
Unless otherwise agreed in writing:
- Reports are licensed solely for the Client's internal business use.
- Reports may not be redistributed, published, sold, sublicensed, shared externally, or incorporated into commercial products without Minchu Analytics' prior written permission.
- Extracts may only be used where expressly authorized and with appropriate attribution when required.
Media content referenced within reports remains the property of the respective publishers,
broadcasters, authors, or other rights holders.
11. Copyright
All original materials created by Minchu Analytics are protected by applicable copyright laws
and international treaties.
Except as expressly permitted:
- no report, dashboard, methodology, design, text, visualization, or software may be copied, reproduced, modified, translated, distributed, displayed, or transmitted without prior written authorization.
Nothing in these Terms transfers copyright ownership.
12. Trademarks
“Minchu Analytics,” our logos, service names, branding elements, and associated marks are
trademarks or proprietary identifiers owned by or licensed to Minchu Analytics.
Nothing in these Terms grants permission to use our trademarks without prior written consent.
Third-party trademarks remain the property of their respective owners.
13. Confidentiality
Information designated as confidential, or which a reasonable business person would understand to be confidential, must be protected by both parties.
Confidential Information includes, without limitation:
- Business strategies
- Client information
- Reports
- Pricing
- Methodologies
- Credentials
- Technical documentation
- Non-public analytics
- Proprietary research
Confidential Information shall not be disclosed except where:
- required by law;
- authorized in writing; or
- necessary for authorized service delivery under appropriate confidentiality obligations.
14. Subscription Services
Certain Services are offered on a subscription basis.
Subscription terms, service levels, usage limits, renewal provisions, and commercial
arrangements may be governed by separate proposals, order forms, statements of work, or master
service agreements.
In the event of inconsistency, the signed commercial agreement will prevail over these Terms
with respect to the subscribed Services.
15. Payments
Fees are payable in accordance with the applicable commercial agreement or invoice.
Unless otherwise agreed:
- invoices are due within the specified payment period;
- applicable taxes are the responsibility of the Client unless stated otherwise; and
- late payments may result in suspension of Services or the application of lawful interest or collection costs.
16. Cancellation
Clients may cancel Services in accordance with the applicable subscription agreement, statement
of work, or written contract.
Cancellation does not relieve the Client of payment obligations incurred prior to the effective
cancellation date.
17. Suspension
We may suspend access to the Services where reasonably necessary to:
- protect platform security;
- investigate suspected misuse;
- comply with legal obligations;
- address non-payment;
- prevent unauthorized access; or
- mitigate operational risks.
Where practicable, reasonable notice will be provided.
18. Service Availability
We strive to maintain reliable and continuous availability of the Services.
However, the Services may be temporarily unavailable due to:
- maintenance;
- upgrades;
- technical failures;
- security incidents;
- telecommunications interruptions; or
- circumstances beyond our reasonable control.
Except where expressly agreed in a service level agreement, uninterrupted availability is not
guaranteed.
19. Third-Party Services
The Services may integrate with or rely upon third-party providers, including hosting providers, analytics services, communication platforms, mapping services, authentication providers, or other technologies.
Minchu Analytics is not responsible for the availability, accuracy, or performance of third-party services beyond our reasonable control.
Use of third-party services may also be subject to the providers’ own terms and privacy policies.

Our website or reports may include links to third-party websites for convenience.
Such links do not constitute endorsement.
We are not responsible for the content, security, privacy practices, or availability of external websites.
21. Accuracy of Information
We endeavor to provide accurate, timely, and professionally prepared information.
However:
- information sources may change;
- public information may later be corrected;
- third-party sources may contain inaccuracies; and
- certain reports reflect information available only at the time of publication.
Accordingly, the Services are provided on an “as available” basis, and no guarantee is made that all information will be complete, current, or error-free.
22. No Legal or Financial Advice
The Services, including reports, dashboards, research, analytics, AI-generated insights, and
commentary, are provided for general business information purposes only.
They do not constitute:
- legal advice;
- financial advice;
- investment advice;
- accounting advice;
- tax advice;
- regulatory advice; or
- professional consulting requiring licensed expertise.
Users should obtain independent professional advice before making legal, financial, investment,
regulatory, or strategic decisions.
23. Limitation of Liability
To the fullest extent permitted by applicable law, Minchu Analytics, its affiliates, directors, officers, employees, contractors, licensors, and suppliers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or loss-of-profit damages arising from or related to the use of the Services, even if advised of the possibility of such damages.
Except where liability cannot lawfully be excluded or limited, Minchu Analytics’ aggregate
liability arising out of or relating to the Services shall not exceed the total fees paid by the Client for the applicable Services during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
24. Indemnification
You agree to indemnify, defend, and hold harmless Minchu Analytics and its affiliates, officers,
directors, employees, contractors, and licensors from and against any claims, liabilities, damages,
losses, costs, or expenses (including reasonable legal fees) arising from:
- your breach of these Terms;
- your misuse of the Services;
- your violation of applicable law;
- infringement of third-party rights by your use of the Services; or
- Client Content supplied by you that violates applicable law or third-party rights.
25. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction],
without regard to conflict-of-law principles, unless otherwise required by mandatory local law.
26. Dispute Resolution
The parties agree to attempt in good faith to resolve disputes through negotiation before
commencing formal proceedings.
If a dispute cannot be resolved amicably within a reasonable period, it shall be submitted to the competent courts or, where agreed in writing, to arbitration in [Jurisdiction], under the
applicable arbitration rules.
Nothing in this section prevents either party from seeking urgent interim or injunctive relief from
a court of competent jurisdiction.
27. Force Majeure
Minchu Analytics shall not be liable for any delay or failure to perform its obligations where
such delay or failure results from events beyond its reasonable control, including natural
disasters, epidemics, acts of government, labor disputes, cyberattacks, failures of
telecommunications or utilities, war, terrorism, civil unrest, or other force majeure events.
Performance will resume as soon as reasonably practicable after the affected event ceases.
28. Termination
These Terms remain in effect until terminated.
We may terminate or suspend access immediately where:
- these Terms are materially breached;
- continued access poses a security risk;
- required by law;
- fraudulent or unlawful activity is suspected; or
- payment obligations remain outstanding after applicable notice periods.
Upon termination, all rights granted under these Terms cease, while provisions intended to
survive—such as those relating to intellectual property, confidentiality, indemnification,
limitation of liability, dispute resolution, and governing law—will continue in effect.
29. Changes to These Terms
We may update these Terms periodically to reflect changes in our Services, legal requirements,
business operations, or technology.
The revised version will become effective on the date indicated by the updated Effective Date.
Continued use of the Services after changes take effect constitutes acceptance of the revised Terms, unless applicable law requires additional notice or consent.

General Provisions
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining
provisions shall remain in full force and effect.
These Terms, together with any applicable order form, statement of work, master service
agreement, subscription agreement, or other written commercial agreement, constitute the entire agreement between the parties regarding the applicable Services and supersede prior
understandings relating to the same subject matter.
No waiver of any provision shall be effective unless made in writing by an authorized
representative of Minchu Analytics. Failure to enforce any right or provision shall not constitute a waiver of that right or provision.
If Minchu Analytics is targeting Fortune 500 and multinational enterprise clients, this document
would typically be paired with a Master Service Agreement (MSA), Data Processing
Agreement (DPA), Service Level Agreement (SLA), Acceptable Use Policy (AUP), API
Terms, Copyright & Takedown Policy, and AI Responsible Use Policyto form a complete
enterprise legal framework.
